reported net sales of $461.0 million for the second quarter 2009, down 28.1 percent
year over year. Net earnings were $22.7 million or $0.43 per diluted share in the
current quarter. A year ago, the company earned $2.54 per diluted share including
unusual items which, on a net basis, contributed $1.63 per diluted share. These
items included a $1.74 per share gain on the sale of the company's minority interest
in Leviton Manufacturing Company; a $0.13 benefit from a legal settlement; and a

to the third quarter of 2008 when the company reported record sales of $665.7 million. Net

$250 million aggregate principal amount of senior notes due 2021, subject to market and other conditions. The offering will be by means of an underwritten public offering pursuant to a universal shelf registration filed with the Securities and Exchange Commission (SEC). Thomas & Betts intends to use the net proceeds from the offering to refinance $125 million of 7.25 percent unsecured notes due 2013, repay up to $95 million of outstanding indebtedness under the company's senior credit facility and for general corporate purposes.

Fourth quarter 2009 net earnings from continuing operations were
$37.0 million or $0.70 per share, excluding $0.19 per share in unusual items related to: debt refinancing ($0.08 per share), facility consolidation ($0.04 per share) and intangible asset impairment ($0.07 per share). In the prior-year period, net earnings from continuing operations were $44.2 million, or $0.81 per share, excluding a $0.36 per share impairment charge.
